James MacNish Porter

James has acted for life and general insurers investment managers, financial advisers, brokers and other financial services companies and regulators on regulatory, distribution, risk transfer, product development, funds and outsourcing matters as well as mergers and acquisitions.

Instructions include:

• Large insurer's sale of its private healthcare business and the subsequent Part VII insurance transfer scheme;
• Large insurer's new standard TOBA and distribution transactions with brokers, banks and affinity groups;
• International insurance broker's binding authority agreement with large insurer for professional indemnity risks;
• International investment and wealth manager's outsourcing of registrar and transfer agency functions;
• Regulatory and commercial advice for launch of Government-backed Help–To-Buy scheme, assisting purchasers of new residential properties;
• Government–backed life sciences fund and other investment funds;
• Regulatory advice to UK and international insurers including on the Retail Distribution Review, financial promotions, business names, client assets, changes of control, passporting, the approved persons regime, corporate governance, the regulatory perimeter and FSA investigations.

He is company secretary of the Association of Professional Financial Advisers.

James joined the firm in 1987 and became a consultant in 2015.
