Louise advises on a wide variety of commercial arrangements in the public and private sectors. In particular Louise specialises in the drafting and review of commercial contracts and project management of larger transactions, delivering practical and commercial advice to her clients on complex and strategic arrangements.
Her experience includes acquisitions, joint ventures and setting up subsidiaries, collaborative working and shared services, outsourcing projects, supply agreements, distribution, agency and franchise agreements, software as a service terms and conditions, hosting agreements, IT support and maintenance terms and IT consortium arrangements.
She has project managed various major transactions, including acquisitions and is CRM lead for a number of major clients.
In the health sector, Louise has a main focus on Foundation Trusts. She provides strategic advice to Foundation Trusts in relation to income generation, including powers to participate in joint ventures and set up special purpose vehicles for commercial activities. She has also advised on outsourcing arrangements and setting up of subsidiaries, including pharmacy outsourcings to private sector providers and wholly owned subsidiaries.
Louise also advises NHS England, CCGs, NHS Trust and local authorities. She is experienced in commercial issues within the NHS such as shared services arrangements, joint ventures, model forms of commissioning contracts, Section 75 arrangements, partnership agreements, including with the private sector, and clinical trial agreements. She is currently working with vanguard sites on the new models of care introduced by the Five Year Forward View.
Louise also provides practical training to clients on various areas of commercial and contractual topics, such as the practical use of standard terms and conditions, clinical trial agreements, joint ventures and governance issues relating to wholly owned subsidiaries.
