Overview
We understand the challenges facing independent healthcare providers, from structural changes and consolidation/new entrants, to increased CQC scrutiny on patient care, to cultural change affecting the management of the workforce and care of patients.
Offering tailored solutions that ensure compliance and sustainable growth, we provide legal, regulatory, and commercial advice, and support with mergers and acquisitions, joint ventures, and commercial contracts. Our expertise extends to data protection, information governance, clinical negligence, medical malpractice and employment, pensions and immigration law.
We anticipate legal and regulatory changes in the healthcare industry, and translate them into innovative solutions for our clients. Our expert team are pioneers in healthcare law, offering creative advice to our clients, and working in such a seamlessly fluent way with them that they find it hard to tell where their team ends and ours begins.
We provide strategic regulatory and legal advice at board level, considering the interface between independent health providers and the NHS, regulators, and commissioners/insurers to manage reputational risk.
Featured Experience
- Advising Elysium Healthcare (now owned by Ramsay Health Care) on the acquisition of the assets of an outgoing care provider and the grant of a high-value lease from an investor (rental value estimates at £22m) including all due diligence and work in relation to the development and refurbishment of the site.
- Advising Brainkind in relation to its acquisition of the Sue Ryder neurological services division in England. We advised on corporate, tax, regulatory, charities, commercial, employment, real estate and information law.
- Advising a private health group on a fundamental review of its engagement model with its medical consultants, including a review of the group's practising privileges (PP) arrangements, advising on tax related (IR35) and employment risks, and extensive competition advice to reframe its approach to pricing and control of doctors with PPs.
- Advising a large independent healthcare provider on CQC prosecution arising from a patient absconding over a fence in an acute inpatient setting, where the Secretary of State currently resists setting national standards around fence heights and environmental security measures (such as roll bars) for this particular level of mental health service.
- Advising a leading private healthcare provider on the management of extensive whistleblowing allegations by an ex-CEO including addressing the regulatory, employment and competition matters that arose and liaising with the various regulators involved in the management of the matter.
- Acting for one of the UK's largest private hospital groups on the company set up, commercial contracts, terms of use, data protection, and financial services compliance, to underpin arrangements for the launch of its ground-breaking self-pay digital healthcare platform, dubbed the 'Netflix for Healthcare'.

Clinical Negligence and Medical Malpractice
We understand the challenges that arise in the healthcare sector when patient expectations are not met, and we also recognise that cost pressures in the sector and on medical malpractice indemnifiers have never been so acute.
As the provision of healthcare fragments away from its traditional delivery models, more and more claims activity will affect commercial entities, private clinics, hospitals, general healthcare providers – and their insurers.
