New Irish companies legislation signed into law

Further to our recent update regarding proposed changes to the Companies Act 2014, the Companies (Miscellaneous Provisions) (COVID-19) Act 2020 has been signed into law. As outlined in our previous update, the new Act will introduce welcome temporary measures to address operational issues facing companies as a result of the COVID-19 pandemic, including the ability to execute documents to which a company’s seal is affixed in counterparts and the ability to hold general meetings electronically. The COVID-19 related measures will remain in place until 31 December 2020 but this date may be extended once or several times up to 30 June 2021. It is expected that new Act will be commenced by statutory instrument later this month.
