Nick Gibbon is a corporate lawyer in our London office. He has more than 25 years' experience spanning mergers, acquisitions, disposals, IPOs (and other fundraisings), joint ventures (and other co-investment arrangements) and reorganisations, as well as other corporate work.
He has advised companies operating in a variety of sectors and at all stages of their corporate lives: from start-up, through fundraisings and M&A activity, to trading on public markets and (in some cases) being taken over or reconstructed.
He obtained a First in Law at Cambridge University and was a partner in a magic circle firm before joining DAC Beachcroft. At both firms, much of his work has been in regulated sectors and cross-border. Qualified in Hong Kong as well as England, he has led the legal advice on international transactions involving North America, Asia and Western Europe in particular.
Nick is a member of Practical Law's corporate consultation board and of the QCA's corporate governance experts group. He co-authored the UK chapter of Practical Law's multi-jurisdictional guide to corporate governance and directors' duties.
Recent transactions on which Nick has led the advice include:
The MBO of an international financial services group, acting for management;
The sale of a catering group to a private equity-backed vehicle and related co-investment arrangements;
The IPO of an investment group, and its subsequent secondary fundraising by way of crowdfunding;
International insurance groups' sales of a broking group and of a health insurance business;
The reorganisation and demerger of a wealth management group's institutional and private client businesses;
Acquisitions of retail and leisure groups;
Secondary fundraisings by publicly-traded technology and construction groups;
The sale of a technology group by its owner managers to a US private equity-backed group;
A Takeover Code offer for a publishing group.
Nick qualified in 1988 and joined DAC Beachcroft in 2006.
