Holly Buckley is an associate in the firm's Corporate team.
Holly advises on all aspects of corporate law but specialises in M&A with a focus on private companies and those listed on AIM. This regularly includes acting for both individuals and corporate entities on asset and share deals, including reverse takeovers. She has also advised clients on management buy-outs, takeover offers and schemes of arrangement.
As well as acquisition work, Holly frequently works with both public and private companies on re-organisations, joint ventures and other co-investment and shareholder arrangements and provides support to them on their day-to-day company law requirements.
The clients Holly acts for span a range of sectors although she has particular experience of, and a particular interest in, the technology sector.
Recent transactions include:
the c.£100m auction sale of a software business to an AIM-listed entity;
the re-domiciliation of technology investment bank MXC Capital to Guernsey by way of scheme of arrangement and its subsequent admission to AIM;
advising the management team of a financial services business on a c.£200m management buy out;
the £75m sale of a retailer by its owner managers to a private equity-backed vehicle and related co-investment arrangements;
a takeover offer for a publicly-traded group which had announced a formal sale process;
advising an AIM-listed technology group on its capital reorganisation, court approved reduction of capital and demerger of its network-based managed services business, and on a number of acquisitions;
the sale of a private limited company to facilitate an indirect debt and equity investment by a specialist fund manager.
Holly has also been involved with work for entrepreneurs and start-up companies on initial fundraisings and at various later stages of their development. She qualified in 2011, having trained with the firm
