International law firm Davies Arnold Cooper advised Hartfield Securities PLC, formerly a PLUS-quoted investment company, on its recommended offer for Ceres Media PLC.
Following the completion of the takeover, Davies Arnold Cooper also acted for the re-named company Ceres Media International PLC on its admission to AIM and a successful fundraising.
Ceres has developed a range of cost-effective, compostable and sustainably sourced print materials, focused on large format and advertising print media which is marketed under the NatureWoven™ trade name. The Group manufactures its products in Europe and Asia and has established a European and US distribution and supply chain, allowing its product to be used by advertisers, brand owners and retailers through existing printing supply channels.
Davies Arnold Cooper's team was lead by head of corporate Ian Brent, assisted by solicitor Philip Walton. Ian Brent said:
"We are delighted to have assisted Hartfield and the newly formed Ceres Media International PLC on the offer and admission to AIM. While the AIM market generally has been relatively slow, DAC has continued to be extremely busy and has completed 2 admissions to AIM in the last 2 weeks."
Alex Dowdeswell, CEO of Ceres commented:
"DAC's experience of AIM- both practical and legal - was self-evident and vital in enabling us successfully to complete this transaction."
Fisher Corporate PLC acted as financial advisers to Ceres. Cairn Financial Advisers acted as nominated adviser. UHY Hacker Young acted as reporting accountants.
